Video SEO and Distribution Agreement
This agreement is hereby entered into between ZooSeo.com, operated by DJ Judkins, of Judkins inc, (hereinafter referred to as “Company” and those who have purchased a Video SEO program (hereinafter referred to as “Client”).
1. ”Company” agrees to provide Client with Video Search Engine Optimization and Reporting Services (hereinafter referred to as “SEO”) as described in this agreement. “Company” is authorized to use the specific keywords and/or phrases (set forth below in Schedule A) for development, improving the ranking of, and/or positioning the contents of the Client’s domain, within Google’s search listings. This purchase agreement is for the promotion of "One" domain from the Client, or more than 1 URL from the same domain depending on the package purchased.
2. This contract will continue each month as payment is made for the Companies services. This contract will expire when no payment is made by the Client.
3. Client agrees to pay “Company” monthly fees as described in Schedule B at the end of this document, on the monthly Benchmark Dates during the course of our contract. All Initial Fees must be received prior to the start of any services provided. Video SEO Services are intended to provide the client with preferential positioning within selected search engines (Google.com) and report results prior to specified target dates. Video SEO Services include:
- Build inbound links to Client website, using a number of methods including the "Company's" propietary video link building system, video distribution, video link management, article marketing, press releases, blog posts, social bookmarks, etc., using specific keyword phrases in the links’ anchor text, for the specific purpose of helping the Client’s website to rank on page one or page two of Google for the specific target keyword phrases, as described in Schedule A at the end of this document.
- Create positioning reports (Benchmark Reports) for Client’s website and any associated pages, showing rankings in the Google search engine, and to detail which Target Keywords the Positioning Report represents. Positioning Reports will represent the rankings of the client websites either weekly or monthly.
4. For the purposes of providing these services, Client agrees to provide:
- Client authorizes “Company” use of all client logos, trademarks, Web site images, etc., for use in creating videos, informational pages, articles, press releases, blog posts, website reviews, social bookmarks, and any number of other methods to develop a link to the Client’s website, and any other uses as deemed necessary by “Company” for search engine positioning and optimization.
- If “Company” requests additional information from the Client, Client will provide additional text content in electronic format to “Company”. The “Company” will only request such information for the purpose of better understanding the Client’s website offerings and specifics related to the Client, for the purpose of developing informational content for the promotion of the Client’s website.
- "Company" will handle all of Client's sensitive information with total privacy.
5. Client acknowledges the following with respect to services:
- “Company” has no control over the policies of any search engines, with respect to the type of sites and/or content that they accept now or in the future. “Company” has no direct or indirect relationship with the Google search engine, its owners, or its subsidiaries. Client website may be excluded from any search engine or directory at any time at the sole discretion of the search engine or directory.
- Due to the competitiveness of some keywords/phrases, ongoing changes in search engine ranking algorithms and other competitive factors, “Company” does not guarantee #1 positions or consistent top 10 positions for any particular keyword, phrase or search term.
- Getting page one or page two results in Google for specific keywords can take as little as three (3) days to achieve and as long as many years to achieve.
- Occasionally, Google and other search engines will drop listings for no apparent or predictable reason. Often listings will “reappear” without any additional changes.
- Google offers paid listings through its Google Adwords program (Adwords.Google.com), but that is not a program in which we participate. The Company’s goal is to get Client website listed in Google’s FREE Organic listings, as seen in the main content area of the web page, on the left side of the search results page.
6. The “Company” is not responsible for changes made to the Web site by Client or other parties that adversely affect the search engine rankings of the Client’s Web site.
7. Additional Services not listed herein or in Supplements below (Schedules A through C) are not offered to Client. For example, managing keywords for Pay-Per-Click (Adwords.Google.com or similar programs) advertising is beyond the scope of services offered by the Video SEO “Company”, through this contract. The Company can help, if they choose, in keyword research but it is known that keyword research is beyond the scope of this contract.
8. Client guarantees any elements of text, graphics, photos, designs, trademarks, or other artwork provided to “Company” for inclusion on the website above are owned by Client, or that Client has received permission from the rightful owner(s) to use each of the elements, and will hold harmless, protect, and defend “Company” and its subcontractors from any liability or suit arising from the use of such elements.
9. The “Company” may make suggestions that are highly recommended regarding onsite SEO work on client’s website. The “Client” may follow these recommendations for best SEO results. The "Company" is not obligated to make onsite changes to the Client's website with their services.
10. “Company” is not responsible for Client’s overwriting SEO work to Client’s site.
11. Any disputes arising from this Agreement will be litigated or arbitrated in Utah County, in the State of Utah, in the United States of America. The laws of the State of Utah in the United States of America shall govern this Agreement.
BY THE "CLIENT" PURCHASING A "VIDEO DISTRIBUTION" OR "VIDEO SEO"
PACKAGE...THIS CONTRACT IS AGREED UPON BY BOTH PARTIES AND IS IN FULL EFFECT.
Schedule A - Target Keywords (2-24 Keyword Phrases Needed)
Keywords will be specified by the Client after purchase of the program. The Company may help the client choose appropriate keywords but is not required to within this contract.
Schedule B - Payments and Reports

All Fees for the current month services, must be received prior to the start of any services provided.

Payment of invoices will be automatically withdrawn or billed via email according to the payment schedule of either Paypal or Credit Card set up. Whichever the Client has been set up on.

Due to the nature of this service there will be NO REFUNDS.

If Client does not continue payments, services from the company will end. Client will retain all videos, links, articles, management programs and all other SEO services established by the Company up to the point of non-payment.

Client Positioning Report will be made available to the client on a weekly or monthly basis.

The first positioning report MAY not be delivered, until after the completion of the first full calendar month of Company activity, in conjunction with the Client’s website. (i.e. If Client starts a job on March 5th, the first report for Positioning Video SEO services will be issued on or before April 31st.)
Schedule C - Summation
Schedule A defines the keywords and keyword phrases covered under this contract. The Client is required to select a minimum of two to twenty four (2-24) keyword phrases per video seo package selected, and the Client is required to provide from 1 to 6 URL"s of the same domain for Video SEO Optimizationin per video seo package selected in order for the Company to approve this contract.
The Client will be required to pay the Initial Payment in order for the Company to begin SEO work.
Every Week or Month, as defined in Schedule B, the Company will run a Benchmark Report to identify the search engine ranking results achieved in Google, Yahoo and Bing search engines.
Positioning Reports will be gathered and Ranking Scores will be calculated for each Target Keyword. Based on the Search Engine Ranking Results for Targeted Keywords.
